These Terms of Use govern the use of the Circle Link mobile application, website, web platform, charging access services, private charging onboarding features, OCPP-connected charger features, DAEI benefit accumulation features, and any related services provided by UAB CircleLink.

By accessing or using Circle Link, creating an account, starting a charging session, connecting a charging point, enrolling in DAEI benefit accumulation, or otherwise using the Service, you agree to these Terms of Use.

If you use the Service on behalf of a company, organisation, public authority, fleet operator, property owner, landlord, charging point owner or any other legal entity, you confirm that you have full authority to accept these Terms on its behalf.

If you do not agree with these Terms, you must not use the Service.

1. Definitions

In these Terms, the following definitions apply:

“Circle Link”, “we”, “us” or “our” means UAB CircleLink.

“Service” means the Circle Link mobile application, website, web platform, EV charging access features, charging session management, charging payment functionality, station information, reviews, route planning, private charger onboarding, OCPP charger connection, DAEI benefit accumulation, DAEI benefit administration, customer support and any related digital or commercial services provided by Circle Link.

“User”, “you” or “your” means a natural person or legal entity using the Service.

“EV” means an electric vehicle or plug-in hybrid electric vehicle capable of being charged from an external electricity source.

“Charging Point” means a public, semi-public, private, workplace, fleet, home or other EV charging device, socket, connector or charging infrastructure unit.

“Public Charging Session” means an EV charging session started or paid for through Circle Link at a third-party public or semi-public charging point.

“Private Charging Session” means an EV charging session recorded from a private, home, workplace, fleet or otherwise non-public charging point connected to Circle Link through OCPP, a meter, API integration or another approved technical method.

“OCPP” means the Open Charge Point Protocol used for communication between charging points and backend systems.

“OCPI” means the Open Charge Point Interface used for roaming, charging network interoperability and exchange of charging-related data between market participants.

“DAEI” means degalų iš atsinaujinančių energijos išteklių apskaitos vienetai, i.e. renewable energy fuel accounting units or equivalent rights, claims, records, benefits or economic value recognised under applicable Lithuanian or European Union law in connection with renewable energy used in transport, including electricity consumed for EV charging, where applicable.

“DAEI Benefit” means the contractual, conditional and non-guaranteed economic benefit calculated by Circle Link for eligible and validated EV charging electricity data that may be used as a discount for eligible Circle Link charging services or paid out as compensation, subject to these Terms and applicable law.

“DAEI Discount” means the application of an approved DAEI Benefit to reduce the price payable by the User for eligible Circle Link public charging services.

“DAEI Payout” means a monetary compensation paid by Circle Link to the User for approved and validated DAEI Benefit, subject to eligibility, minimum thresholds, tax requirements, payout rules and applicable law.

“DAEI Rights” means any rights, claims, economic interests, records, data-based declarations, accounting units, commercialisation rights or other benefits arising from or connected with eligible EV charging electricity data that may be recognised, declared, transferred, assigned, aggregated, sold or monetised under applicable law.

“DAEI Programme” means Circle Link’s optional feature allowing eligible Users to connect charging points, provide charging data, assign or authorise the use of DAEI Rights and receive a DAEI Benefit under these Terms or a separate agreement.

“Validated kWh” means electricity consumption in kilowatt-hours from eligible EV charging that has been technically recorded, verified and accepted by Circle Link for DAEI Benefit calculation.

“Third-Party Charging Operator” means any operator, owner, network, platform, roaming partner or infrastructure provider of charging points not owned or operated by Circle Link.

2. Scope of the Service

Circle Link provides digital services related to EV charging, including, where available:

finding and viewing EV charging points;
viewing charging point location, connector type, charging power, pricing, availability and other station information;
planning routes with charging stops;
starting, stopping and paying for selected charging sessions;
receiving information from third-party charging operators through integrations such as OCPI;
submitting reviews, comments, reports and feedback;
connecting selected private or workplace charging points to Circle Link;
collecting charging session data from connected charging points;
administering the DAEI Programme;
calculating, applying and paying DAEI Benefits, where applicable.

Circle Link does not own or operate third-party public charging infrastructure unless expressly stated otherwise. Public charging points are operated by third-party charging operators. Circle Link facilitates access, information display, session initiation, payment processing and related digital services.

Circle Link may add, remove, suspend, modify or limit any feature of the Service at any time, including DAEI Programme features, private charging onboarding, payment methods, roaming availability, pricing structures, supported charging points or supported technical integrations.

3. Eligibility

You may use the Service only if you are legally capable of entering into a binding agreement and are not prohibited from using the Service under applicable law.

If you use the Service for a company, organisation, fleet, workplace, landlord, residential association, parking operator or other legal entity, you confirm that:

you are authorised to act on behalf of that entity;
the entity agrees to these Terms;
the entity is responsible for all use of the Service under its account;
all charging points, meters, vehicles, user accounts and data sources connected to Circle Link are lawfully controlled or authorised by that entity.

Circle Link may refuse, suspend or terminate access to the Service if we reasonably believe that you do not meet eligibility requirements, have provided inaccurate information, do not have authority to use or connect a charging point, or use the Service unlawfully.

4. Account Registration and Security

To use certain features, you may need to create an account. You agree to provide accurate, complete and up-to-date information.

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must not share your account with unauthorised persons.

You must notify Circle Link immediately at [email protected] if you suspect unauthorised access, misuse, data breach, incorrect charging data, unauthorised charging point connection or any other security incident.

Circle Link may suspend or restrict your account if we suspect fraud, misuse, unauthorised access, technical manipulation, duplicate DAEI claims, chargeback abuse, prohibited use or other breach of these Terms.

5. Public Charging Services

Circle Link may allow Users to access selected third-party charging points and start Public Charging Sessions through the Service.

Charging prices, availability, connector status, maximum power, session rules, parking rules, idle fees, blocking fees and other conditions may be provided by Third-Party Charging Operators. Circle Link makes reasonable efforts to display current information, but does not guarantee that such information is always complete, correct, uninterrupted or up to date.

Before starting a Public Charging Session, you are responsible for reviewing and accepting the displayed price, charging terms and any applicable third-party terms.

You acknowledge that EV charging conditions may vary depending on the charging point, vehicle, battery state, temperature, grid conditions, operator systems, communication quality and other external factors.

Circle Link is not liable for unavailable charging points, incorrect third-party data, unsuccessful charging sessions, vehicle limitations, operator outages, roaming failures, blocked connectors, parking penalties, idle fees, grid interruptions or other circumstances outside Circle Link’s direct control.

6. Fees and Charges for Public Charging

Unless otherwise stated in the Service, Circle Link applies a service fee of 4% per Public Charging Session. The fee is calculated on the total amount charged for the session by the Third-Party Charging Operator or applicable charging network. A minimum service fee of EUR 0.50 applies if the calculated 4% fee is lower.

By starting a Public Charging Session, you authorise Circle Link and its payment service providers to charge the applicable charging price, Circle Link service fee, taxes, pre-authorisations, penalties, idle fees, blocking fees and any other applicable charges shown or referred to before or during the session.

For fixed-charge or pre-authorised sessions, Circle Link may reserve an additional amount above the selected charging amount to ensure proper settlement in case of price fluctuation, roaming delay, operator correction or technical adjustment. Any unused reserved amount will be released or refunded according to the applicable payment provider’s processing rules.

Circle Link may introduce, remove or change service fees, subscription plans, premium tiers, fleet plans, business plans, DAEI-related fees or other commercial models. If required by law, Users will be notified in advance.

7. Private Charging Point Connection

Circle Link may allow Users to connect private, home, workplace, fleet or other non-public charging points to the Service.

A charging point may be connected through OCPP, a supported manufacturer API, a meter integration, manual configuration, a third-party backend, a separate agreement or another technical method approved by Circle Link.

You confirm that:

you own, lease, operate or are lawfully authorised to connect the charging point;
connecting the charging point to Circle Link does not breach any contract, lease, employment policy, electricity supply agreement, network operator rule, manufacturer rule, property owner rule or applicable law;
the charging point has a stable internet connection where required;
the technical data provided by the charging point is accurate to the best of your knowledge;
you will not manipulate, falsify, duplicate, alter or interfere with charging data;
you will promptly inform Circle Link if the charging point is replaced, disconnected, transferred, sold, reconfigured, moved, damaged or no longer eligible.

Circle Link does not guarantee compatibility with every charging point, meter, firmware version, OCPP configuration, manufacturer API, internet router, SIM card, local network or electrical installation.

You are solely responsible for the physical installation, electrical safety, maintenance, compliance, certification, internet connection and correct use of your charging point and related electrical infrastructure.

8. DAEI Programme

The DAEI Programme is an optional Circle Link feature that allows eligible Users to provide EV charging electricity data, authorise Circle Link to aggregate and commercialise DAEI Rights, and receive a DAEI Benefit where applicable.

Participation in the DAEI Programme is subject to:

applicable Lithuanian and European Union law;
Circle Link’s technical requirements;
charging point compatibility;
data quality and validation;
User eligibility;
non-duplication of DAEI declarations;
market demand for DAEI Rights;
any separate agreement between the User and Circle Link;
any requirements imposed by competent authorities, registries, market participants, fuel suppliers, electricity suppliers, auditors or other relevant parties.

Participation in the DAEI Programme does not guarantee any fixed income, guaranteed payout, guaranteed price, guaranteed acceptance of kWh data, guaranteed recognition of DAEI Rights or guaranteed future availability of the DAEI Programme.

Circle Link may reject, suspend or reverse DAEI Benefits if data is incomplete, unreliable, duplicated, technically inconsistent, obtained unlawfully, incompatible with applicable law, connected to another aggregator, not attributable to EV charging, or otherwise not acceptable for DAEI purposes.

9. Assignment and Authorisation of DAEI Rights

By enrolling in the DAEI Programme, you authorise Circle Link, to the maximum extent permitted by applicable law, to collect, receive, verify, process, aggregate, declare, transfer, assign, sell, commercialise and otherwise use DAEI Rights arising from eligible and validated EV charging electricity data connected to your account or charging point.

Unless a separate written agreement provides otherwise, you assign to Circle Link the economic benefit and commercialisation rights related to DAEI Rights arising from eligible and validated EV charging electricity data submitted through the Service.

You agree not to declare, sell, assign, transfer, pledge, monetise or otherwise use the same EV charging electricity data or DAEI Rights through another aggregator, fuel supplier, charging operator, platform, employer, electricity supplier or other third party for the same period and the same charging volume.

You confirm that no other person or entity has a conflicting right to the same DAEI Rights, unless you have disclosed this to Circle Link and Circle Link has approved participation in writing.

If duplicate claims, conflicting rights, inaccurate declarations or third-party objections arise, Circle Link may suspend your participation, freeze DAEI Benefit calculation, request additional evidence, reverse previously granted DAEI Benefits, withhold DAEI Payouts or terminate your participation.

10. DAEI Benefit Calculation

DAEI Benefit is calculated only on Validated kWh accepted by Circle Link.

Circle Link may apply a DAEI Benefit rate per Validated kWh. The applicable rate may be displayed in the Service, confirmed in a separate agreement or otherwise communicated by Circle Link.

Unless expressly agreed otherwise, the DAEI Benefit rate is not fixed for the future and may change depending on market conditions, regulation, buyer demand, DAEI transaction prices, data quality, technical costs, administrative costs, tax treatment and Circle Link’s commercial policy.

A DAEI Benefit is not final until Circle Link has verified the relevant charging data and accepted it for DAEI calculation. Displayed estimated amounts are informational only and may be adjusted, corrected, reduced or cancelled.

Circle Link may apply minimum thresholds, validation periods, correction periods, payout schedules and administrative rules before DAEI Benefit becomes eligible for use as a DAEI Discount or DAEI Payout.

11. DAEI Benefit Display in the Service

The Service may display an amount such as “Accumulated DAEI Benefit”, “DAEI Benefit”, “Available DAEI Discount”, “Pending DAEI Benefit” or similar wording.

Such displayed amount represents a contractual and conditional benefit calculation only. It is not a bank deposit, payment account, electronic money, stored monetary value, investment product, security, loan, savings account, wallet, virtual currency, transferable balance or general-purpose payment instrument.

You cannot transfer DAEI Benefit to another User, withdraw it on demand, use it outside the scope approved by Circle Link, sell it independently, exchange it for other assets, or use it as a general payment method.

Circle Link may correct displayed amounts if there are technical errors, operator corrections, duplicate sessions, invalid data, regulatory changes, tax corrections, fraud indicators or other reasonable grounds.

12. Use of DAEI Benefit as a DAEI Discount

Where available, Circle Link may allow you to apply approved DAEI Benefit as a DAEI Discount against eligible Circle Link Public Charging Sessions.

A DAEI Discount may be applied only within the Service and only for eligible charging services supported by Circle Link.

Circle Link may limit the use of DAEI Discount by amount, percentage, charging network, country, User type, account status, validity period, tax status, payment method, minimum session value or other objective criteria.

DAEI Discount is not redeemable for cash unless Circle Link expressly allows a DAEI Payout under these Terms or a separate agreement.

If a Public Charging Session is cancelled, refunded, reversed, corrected or disputed, Circle Link may reverse or re-credit the related DAEI Discount according to its internal settlement rules.

13. DAEI Payouts

Circle Link may, where available and subject to eligibility, allow approved DAEI Benefit to be paid out to the User’s bank account.

DAEI Payouts may be made periodically, for example quarterly, monthly or according to another schedule determined by Circle Link or agreed separately.

Circle Link may require a minimum payout threshold. If the threshold is not reached, the DAEI Benefit may remain pending until the next payout period or may be used as a DAEI Discount if available.

To receive a DAEI Payout, you may be required to provide identity information, bank account details, tax residency information, company details, VAT information, invoices, declarations, self-billing authorisations or other documents required by law or by Circle Link’s compliance procedures.

Circle Link may refuse, delay or withhold a DAEI Payout if:

required information is missing or inaccurate;
the User has not passed compliance checks;
the charging data is disputed or not validated;
duplicate DAEI claims are suspected;
tax or accounting treatment is unclear;
fraud, misuse or manipulation is suspected;
applicable law, a competent authority or a payment provider prevents payout;
the User has breached these Terms.

DAEI Payouts are not on-demand withdrawals from a wallet or payment account. They are contractual compensation payments for approved DAEI Benefit, subject to these Terms.

14. Taxes

You are responsible for understanding, declaring and paying any taxes applicable to your DAEI Benefit, DAEI Discount or DAEI Payout, unless applicable law expressly requires Circle Link to withhold, report or pay tax on your behalf.

For private individuals, tax treatment may depend on the legal classification of the DAEI Benefit, the amount received, whether you carry out economic activity, your tax residency, and applicable Lithuanian tax rules.

For legal entities, DAEI Payouts or DAEI Benefits may be subject to accounting, VAT, corporate income tax or other tax treatment depending on the structure of the transaction and applicable law.

Circle Link may request additional tax information and may issue payment reports, statements, self-billing documents or other documents where required.

Circle Link does not provide tax advice. You should consult a qualified tax adviser if you are unsure about your tax obligations.

15. Business, Fleet and Workplace Users

Business, fleet, workplace, property, parking and institutional Users may participate in the DAEI Programme under these Terms or a separate commercial agreement.

Business Users confirm that:

they lawfully control the charging infrastructure connected to Circle Link;
they have the right to provide charging data to Circle Link;
they have obtained all required employee, customer, tenant, driver or other consents where necessary;
they comply with employment, privacy, metering, electricity, tax, accounting and internal policy requirements;
they will not submit the same charging data or DAEI Rights to another aggregator or market participant;
they will provide invoices, VAT information or other accounting documents where required.

Circle Link may require a separate written agreement for large fleets, workplaces, public bodies, landlords, parking operators, CPOs, EMSPs, electricity suppliers or other complex participation models.

16. Data Required for DAEI Programme

To administer the DAEI Programme, Circle Link may collect and process data including:

User identity and contact details;
account information;
charging point ID, serial number, OCPP identity or meter identity;
charging point location or installation address where necessary;
charging session start and end time;
electricity consumed in kWh;
meter values;
connector status;
technical logs;
EV or RFID identifiers where used;
electricity supply or meter information where required;
proof of ownership, authorisation or lawful control;
bank account and payout details;
tax and accounting details;
consent and agreement records.

Circle Link processes such data to provide the Service, verify eligibility, calculate DAEI Benefit, detect fraud, prevent duplicate claims, comply with legal obligations, administer payouts and protect the integrity of the DAEI Programme.

17. User Content

You may submit reviews, ratings, comments, station reports, photos, technical reports, charger information, feedback or other content through the Service.

You confirm that your content is truthful, lawful, relevant and does not infringe the rights of others.

You must not submit false, misleading, defamatory, offensive, abusive, discriminatory, unlawful, spam-like, promotional or irrelevant content.

By submitting User Content, you grant Circle Link a worldwide, royalty-free, non-exclusive, transferable and sublicensable licence to use, copy, display, publish, translate, adapt, moderate, remove, analyse and distribute such content in connection with operating, improving, promoting and protecting the Service.

Circle Link may remove or moderate User Content at its discretion, especially where it is unlawful, misleading, abusive, irrelevant, technically harmful or inconsistent with these Terms.

18. Privacy and Data Protection

Circle Link processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation where applicable.

We collect only data that is necessary for providing, securing, improving, supporting and legally administering the Service, including charging access, payment, account management, DAEI Programme administration and customer support.

We may share data with trusted partners where necessary, including charging operators, roaming partners, payment service providers, technical infrastructure providers, auditors, legal advisers, tax advisers, public authorities and DAEI-related counterparties.

We do not sell personal data to advertisers.

19. Payments and Payment Providers

Circle Link may use third-party payment service providers to process payments, refunds, pre-authorisations and DAEI Payouts.

By using payment features, you agree to the applicable payment provider’s terms and processing rules.

Circle Link is not responsible for delays, refusals, chargebacks, blocked accounts, failed payouts, currency conversion, bank charges, card issuer decisions or other circumstances controlled by payment providers or banks.

Using a payment provider for DAEI Payouts does not mean that Circle Link provides banking, payment account, electronic money or money remittance services to Users.

20. Third-Party Services and Integrations

The Service may rely on third-party systems, including charging operators, roaming platforms, OCPI partners, OCPP systems, manufacturer APIs, map providers, payment processors, cloud providers, analytics providers and support tools.

Third-party terms, limitations, data accuracy, outages, pricing, availability and technical restrictions may apply.

Circle Link is not responsible for third-party systems, data, failures, prices, downtime, charging point faults, roaming delays, API restrictions, firmware issues or network interruptions beyond Circle Link’s reasonable control.

21. Prohibited Uses

You must not:

use the Service unlawfully or fraudulently;
impersonate another person or entity;
connect a charging point that you do not own, control or have authority to connect;
submit false, manipulated, duplicated or misleading charging data;
claim DAEI Benefit for the same electricity through multiple parties;
manipulate OCPP messages, meter values, firmware, logs or technical data;
use bots, scrapers, automated tools or unauthorised APIs;
reverse-engineer, copy, resell, sublicense or repackage the Service;
interfere with the Service, servers, integrations or charging infrastructure;
attempt to gain unauthorised access to accounts, data or systems;
upload malware, harmful code or disruptive content;
post false, defamatory, offensive or unlawful content;
use the Service to monitor individuals without lawful basis and consent;
abuse refunds, chargebacks, vouchers, DAEI Discounts or DAEI Payouts;
use the Service in a way that creates regulatory, tax, security or technical risk for Circle Link.

Violation of this section may result in suspension, termination, reversal of DAEI Benefits, withholding of payouts, reporting to authorities and legal action.

22. Intellectual Property

The Service, Circle Link name, trademarks, logos, software, design, interface, databases, content, documentation, algorithms, business methods and other materials are owned by Circle Link or licensed from third parties.

You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose and in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, extract, scrape, reproduce or create derivative works from the Service unless expressly permitted by law or by Circle Link in writing.

23. Availability and Changes to the Service

The Service is provided on an “as is” and “as available” basis.

Circle Link may update, modify, suspend, discontinue or restrict any part of the Service at any time, including maps, charging access, pricing, payment methods, DAEI Programme features, private charger onboarding, supported integrations or User accounts.

Circle Link may perform maintenance, security updates, technical changes or emergency interventions without prior notice.

Circle Link is not liable for temporary or permanent unavailability, data delays, interrupted access, third-party outages or feature changes, except where liability cannot be excluded under applicable law.

24. No Warranties

To the maximum extent permitted by law, Circle Link makes no warranties regarding:

uninterrupted availability of the Service;
charging point availability;
accuracy of third-party station data;
success of any charging session;
compatibility with any vehicle, charger, meter, firmware, router or API;
future DAEI Programme availability;
acceptance of any charging data for DAEI purposes;
future DAEI value, price, buyer demand or regulatory treatment;
tax outcome for any User;
suitability of the Service for any specific commercial purpose.

Nothing in these Terms excludes liability that cannot be excluded under mandatory law.

25. Limitation of Liability

To the maximum extent permitted by law, Circle Link is not liable for indirect, incidental, special, punitive or consequential damages, loss of profit, loss of revenue, loss of business, loss of data, loss of goodwill, loss of expected DAEI Benefit, failed charging, charging delay, vehicle issue, third-party system outage or regulatory change.

Circle Link’s total liability to you for claims arising from the Service is limited to the amount of fees paid by you to Circle Link for the specific Service giving rise to the claim during the three months preceding the event, unless mandatory law provides otherwise.

This limitation does not apply to liability for intentional misconduct, gross negligence or liability that cannot be limited under applicable law.

26. Indemnity

You agree to indemnify and hold Circle Link harmless from claims, losses, liabilities, penalties, damages, costs and expenses arising from:

your breach of these Terms;
unlawful or unauthorised charging point connection;
false, duplicate or manipulated charging data;
conflicting DAEI claims;
breach of third-party rights;
tax, accounting or reporting failures attributable to you;
misuse of the Service;
your User Content;
your violation of applicable law.
27. Suspension and Termination

You may stop using the Service at any time and may request account deletion by contacting [email protected].

Circle Link may suspend, restrict or terminate your account, charging access, DAEI Programme participation, DAEI Benefit calculation, DAEI Discount use or DAEI Payouts if:

you breach these Terms;
you provide inaccurate information;
fraud or misuse is suspected;
charging data is unreliable or duplicated;
you no longer meet eligibility requirements;
a third party objects to your authority or DAEI Rights;
required legal, tax or compliance information is missing;
continued access creates legal, regulatory, tax, technical, security or commercial risk;
Circle Link discontinues or materially changes the Service.

Termination does not affect rights and obligations accrued before termination, including payment obligations, tax obligations, DAEI corrections, indemnities, intellectual property rights and dispute resolution provisions.

28. Data Retention After Termination

After account deletion or termination, Circle Link may retain data for as long as necessary to comply with legal, tax, accounting, dispute resolution, fraud prevention, DAEI audit, payment and regulatory obligations.

Where no longer required, data may be deleted or anonymised according to Circle Link’s data retention policy and applicable law.

29. Changes to These Terms

Circle Link may update these Terms from time to time.

The latest version will be available in the Service or at www.circlelink.app. If changes are material, Circle Link may notify Users through the Service, email or another reasonable method.

By continuing to use the Service after updated Terms become effective, you agree to the updated Terms.

If you do not agree with the updated Terms, you must stop using the Service.

30. Notices

Circle Link may provide notices by email, in-app notification, website notice, push notification or other electronic communication.

You are responsible for keeping your contact details accurate and checking communications regularly.

Notices sent electronically are considered received on the date of transmission or publication, unless mandatory law provides otherwise.

31. Assignment

Circle Link may assign or transfer its rights and obligations under these Terms to an affiliate, successor, acquirer, investor, purchaser of assets or other third party.

You may not assign or transfer your rights or obligations under these Terms without Circle Link’s prior written consent.

32. Severability

If any provision of these Terms is found invalid, illegal or unenforceable, the remaining provisions remain in force. The invalid provision will be replaced by a valid provision that most closely reflects the original commercial and legal intent.

33. Governing Law and Jurisdiction

These Terms and any dispute, claim or controversy arising from or related to the Service are governed by the laws of the Republic of Lithuania, without regard to conflict of law rules.
